Terms of Service

Welcome to Elevea. These Terms of Service ("Terms") govern your access to and use of the Elevea platform, website, and services (collectively, the "Service") operated by Elevea, Inc., a Delaware corporation ("Elevea," "we," "us," or "our"). Our Privacy Policy explains how we handle personal information and forms part of your agreement with us.

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

1. Account Registration and Eligibility

To use the Service, you must create an account by providing accurate and complete information about yourself and your organization. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years old to use the Service. You agree to notify us immediately of any unauthorized use of your account.

2. Organization Accounts and Team Members

When you register on behalf of an organization, you create an organization account. As the account administrator, you may invite other users ("Team Members") to access the Service under your organization's account. You are responsible for ensuring that all Team Members comply with these Terms. You represent that you have the authority to bind your organization and its Team Members to these Terms.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • use the Service in any way that violates applicable laws or regulations;
  • attempt to gain unauthorized access to the Service or its related systems;
  • interfere with or disrupt the integrity or performance of the Service;
  • upload or transmit viruses, malware, or other malicious code;
  • use the Service to harass, abuse, or harm others;
  • reverse engineer, decompile, or disassemble any part of the Service; or
  • use the Service to collect information about other users without their consent.

4. Service Description

Elevea provides an AI-powered organizational intelligence platform that enables organizations to gather insights through studies and analyze responses using artificial intelligence. The Service includes study creation and distribution tools, AI-powered analysis and synthesis of responses, dashboards and reporting features, and integration capabilities with third-party services.

5. AI Processing and Analysis

The Service uses artificial intelligence to analyze and synthesize study responses and organizational data. You acknowledge that AI-generated insights are provided as informational tools and should not be the sole basis for significant business decisions. We do not guarantee the accuracy, completeness, or reliability of AI-generated outputs. You are responsible for reviewing and validating any insights before acting on them.

6. User Content and Data Ownership

You retain all ownership rights in the content, data, and information you submit to the Service ("User Content"). By submitting User Content, you grant Elevea a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and analyze your User Content solely for the purpose of providing and improving the Service. We will not sell your User Content to third parties or use it for purposes unrelated to the Service without your consent.

7. Fees and Payment

Certain features of the Service may require payment of fees. If you subscribe to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are non-refundable except as required by law or as expressly stated in these Terms. Your fees are locked in for the duration of your subscription term. We may change our fees for subsequent renewal terms by providing you with notice at least 30 days before your renewal date. Fee changes will not apply to your current subscription term and will only take effect if you choose to renew.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Elevea and are protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose.

9. Third-Party Services and Integrations

The Service may integrate with or contain links to third-party services, websites, or applications. We do not control and are not responsible for the content, privacy policies, or practices of third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

11. Limitation of Liability

To the maximum extent permitted by law, Elevea shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service. In no event shall our total liability exceed the greater of one hundred dollars ($100) or the amount you have paid us in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Elevea and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another party.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Effective Date" above. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

16. Entire Agreement

These Terms constitute the entire agreement between you and Elevea regarding the Service and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Enterprise Agreements: If you have entered into a separate written agreement with Elevea (such as a Master Services Agreement, Order Form, or Enterprise Agreement), the terms of that agreement will govern your use of the Service to the extent they conflict with these Terms. These Terms will continue to apply to any matters not addressed in your separate agreement.
